A bidding war for U.S. Steel is heating up and one player in particular holds enormous sway: the steelworkers union.
The big picture: Strong provisions in the union's contract give it a surprising amount of power to influence who buys the iconic American company.
Catch up fast: Last week, U.S. Steel rejected a $7.25 billion cash-and-stock takeover offer from competitor Cleveland-Cliffs, a producer that, like U.S. Steel, has been around for more than 100 years.
U.S. Steel instead kicked off a review of "strategic alternatives" — that's deal-speak for a formal auction process — saying it had received multiple unsolicited proposals.
Esmark, a privately held company involved in the steel and oil and gas industries, said it too had made an offer, at $7.8 billion all-cash. Esmark is a nonunion shop.
ArcelorMittal, the second-largest steelmaker in the world, is also reportedly considering a bid.
State of play: Under its contract with U.S. Steel, the United Steelworkers union has a right to bid for the company if it's in play, which it now is. But instead of the union making an offer to buy U.S. Steel, it transferred its rights to Cleveland-Cliffs, a company whose employees are also represented by the USW.

Holy Trinity Orthodox Church, Antarctica
A wooden Orthodox church was consecrated in 2004 in the harsh ice of Antarctica. Since then, the Divine Liturgy has been celebrated year-round in the middle of the white desert at the edge of the earth.
Peter and Valery took a blessing from Patriarch Alexy II and began collecting donations for the construction of the church. Over the three years of fund-raising, the church bells were cast and the iconostasis was prepared by artists from Palekh. In 2002, a cross was erected on the site of the future church on Mount Irina, above the Bellingshausen station. On January 25 of the same year, a Divine Liturgy was first celebrated in Antarctica, praying for all the polar explorers who had perished here.
Finally, in 2004 the construction began. The wooden church was cut down and assembled in Altai. The materials used were cedar and larch, which become as strong as metal over time to endure the harsh Antarctic frosts and hurricane winds. Then the church was disassembled, with the logs numbered and transported by ship to King George Island (Waterloo) in Antarctica, where the Russian Bellingshausen station is located. In a few months, the church was assembled without a single nail and secured from the inside with steel chains to make it more stable on the cliffs. To avoid legal complications, it was formally registered as a mission of the Holy Trinity Sergius Lavra.
Peter Zadirov planned to consecrate the church (as he had already done in his homeland) in honor of St. Nicholas the Wonderworker, the patron saint of sailors and travellers. But God arranged things differently. The first Divine Liturgy, celebrated at the Bellingshausen station before the construction of the wooden church, was served in a plain metal container. The only icon on the table used as the altar was a small plastic image of St. Andrei Rublev’s Holy Trinity. Shortly before the service, this icon had been purchased in a Catholic shop in Punta Arenas, Chile by one of the construction sponsors travelling to Antarctica. This was seen as an omen, and the Antarctic church was subsequently consecrated in honor of the Holy Life-Giving Trinity.
The consecration was performed on February 15, 2004 by Bishop Feognost (Guzikov), who was then vicar of the Trinity Sergius Lavra. Hieromonk Kallistrat (Romanenko) became the first serving priest in this church. Later, Father Kallistrat was chosen to be Bishop of Gorno-Altai and Chemal. But he did not leave his pastoral care of this church, and to the present day, Vladyka personally appoints priests to serve in Antarctica.
Surprisingly enough, it was in Antarctica that many polar explorers first came to God. On the next day after the church was consecrated, the Sacrament of Baptism was administered. The first to be baptized were the head of the Bellingshausen station, Oleg Sakharov, and the driver-mechanic Alexander Solovyov.
Oleg Sakharov later said that during difficult winter seasons and long polar nights, the station workers needed a place where they could come at any time to relieve their stress: “The church, whose warmth could be felt even by touching its logs, became such a place.”

Uh Oh, I couldn't pick :( not even three :( and this is not in any particular order.
doom patrol vol. 2 #78, "the path of the vanished alphabets": absolutely a must-have on any of my lists. easily my favorite issue of teiresias wars, which is already my favorite of pollack's arcs. just bangs so hard in every way. so many iconic lines and moments, so many excellent character decisions (kate and cliff with the contract, cliff defending kate to niles and "dr. ice," "orgasm happens in the brain," etc), so much gorgeous storytelling. a crown jewel in comic books and in pollack's run. while as i said i love the rest of the arc--especially the issue immediately preceding and the one immediately succeeding it--and i do equally love pollack's single issues ("bootleg steele" and "the laughing game" come to mind), i decided to go with this one.
batman: gotham knights #41, "killer rush": while unfortunately the art is extremely unappealing for me, this issue will always be one of my favorites. my favorite short and sweet thing to tell people to read if they want to get to know sue, especially if they're batman fans. she gets to shine so much in this issue, and i love that the narrative doesn't have to disrespect ralph to do it! they can both be detectives at the same time! while i love the way the mystery shakes out, i love the ending almost as much—"alias 'm. malone,' LIGHTEN UP."
firestorm vol. 3 #32 "what people do": g-d. it's so good. so, so good. jason and stein's relationship is already near and dear to me so seeing them handle a conflict that shakes their friendship to its core is so good. it's the perfect culmination of an arc about family, fatherhood, and who firestorm is—it would've been the perfect end to the comic if they'd decided to end it with moore's last arc instead of continuing it for a little longer. (i'm not complaining, mcduffie wrote a great firestorm for those few issues.) jamal igle illustrating all of it is just the cherry on top of the cake after having to put up with how freddie e. williams draws lorraine. i also love jason's homophobia moment.
dial h for hero vol. 2 #13 "dial f for finale": i love all of dial h. i love all of wonder twins. but while i find wonder twins to be inseparable from itself, dial h just barely isn't so. the finale brings everything together so well. the whole comic is a must-read for anyone but it's hard to find a better ending to a run than that, which is enough to elevate it a touch above the rest of dial h's goddamn fucking stupendous issues.
blue beetle vol. 7 #16 "total eclipso: the heart" (...and #20 "fear to live," and #22 "under pressure," #25 "a little help from..."): i love blue beetle vol. 7. it's so fucking good. nobody was doing it like john rogers. one of the best comics of all time, not just of the so-often poorly constructed mid-2000s batch. #16 rises above the rest of the pack for me for obvious reasons, but i couldn't just leave out my other favorites. #20 makes me feel like screaming and crying and throwing up just like #16 does. all of the endgame arc is killer, but #22 and #25 are my personal highlights.

Japan’s Nippon Steel to buy U.S. Steel in a $14.9 billion deal
Japan’s Nippon Steel clinched a deal on Monday to buy U.S. Steel for $14.9 billion in cash, prevailing in an auction for the 122-year-old iconic steelmaker over rivals including Cleveland-Cliffs and ArcelorMittal.
The deal price of $55 per share represents a whopping 142% premium to Aug. 11, the last trading day before Cleveland-Cliffs unveiled a $35-per-share, cash-and-stock bid for U.S. Steel. It is a bet that U.S. Steel will benefit from the spending and tax incentives in President Joe Biden’s infrastructure bill.
Cleveland-Cliffs’ pursuit prompted U.S. Steel to launch a sale process four months ago. In a meeting of its board of directors on Sunday, U.S. Steel deemed Nippon’s offer superior to a sale to Cleveland-Cliffs, which had raised its bid in the high $40-per-share range, people familiar with the matter said.
Nucor, the largest U.S. steelmaker, offered to acquire U.S. Steel in partnership with another company, one of the sources said. The identity of that company could not be learned.

This is my Life and I'm Sticking to It.
After being awake for nearly 48 hours, everyone fell asleep when their heads hit the pillow.
Except for me.
I had a jarring headache from being overtired, and my eyes burned due to having them open so long. My head throbbed when finally settled down in quiet darkness. I wanted to rip my eyes out.
But, melatonin to the win, and I never woke up until 8:00 in the morning.
Two kids were staying in the same hotel with Grady, and two kids were in one hotel with me. After breakfast, and Grady leaving for work my kids and I decided to go exploring a small pocket of Sydney.
Sydney Harbor is unique. Certain areas have cliffs that are jagged while others are more tranquil and have sandy beaches. Other areas have modern skylines.
We weren't sure where we were going , and we weren't certain what our energy levels would allow us to explore. https://minecraftservers.lol/ So we decided to begin our journey with a tiny museum that explains the British discovery of Australia and its first use for prisoners.
History, Geography, Social Studies: Check.
After completing a string of clues to solve a riddle at the museum which Micah was insistent on doing walking across the Sydney Harbor Bridge. This iconic bridge is the highest arch of steel and only has straight steel pieces, despite the bridge being a huge arch.
And a side note: Micah is frustrated he can't duplicate the bridge in Minecraft. It seems that architecture has a an element of mathematics.
We crossed the Bridge and explored Luna Park. This was mostly to sit down, have an ice-cold drink, and enjoy ice-cream by the water.
When we visited, Australia was in the last days of summer and the beginning the autumnal season. We could feel a constant breeze, however, with temperatures in the mid-80's, it was plenty warm.
From Luna Park we hopped on a ferry, cruised across the harbor, and had only a three-block walk back to our hotel.
After seven hours of exploring I ordered "quiet" in the hotel. Kids wrote in journals or played video and I shut my eyes. At 5:45 Grady came in the door and dropped his laptop bag and we headed off to dinner.
And, even at 8:00, we were done for the day. The 15-hour time difference took some getting used to!
Everyone had a single word to describe about Sydney following the first day: fantastic fun, enjoyable, easy to navigate beautiful, exciting and friendly. And we were all smiles knowing that we had almost two more weeks in the city to explore and explore!

They commissioned Wright, famous for integrating his architecture with nature, to build the home for them in 1934.Construction of Fallingwater began in April 1936 and was completed in 1939. Wright spent $155,000 to build the multi-story home (well above his initial estimate of $35,000), incorporating boulders from the mountain into the building’s foundation and steps that lead straight into the river below. Approaching Fallingwater.Driving onto the property feels isolating as the dense forest blocks out most of the light. However, as you step into the weekend home, the atmosphere immediately brightens. The living room is fully furnished and you can almost imagine a ghost of the Kaufmann family coming in from around the corner to relax in front of the sizable fireplace.Low ceilings make the home seem more cozy than cramped, and the incorporation of wood brings the natural world inside. In fact, that was Wright’s intention; with the use of open space and large windows, my eyes were constantly drawn to the outdoors and the natural beauty surrounding the home. To completely isolate myself from the outside world would be impossible. The interior of Frank Lloyd Wright’s Fallingwater.The Kaufmann family each had their own room, in addition to the kitchen, servant’s quarters, guest room, main living room, and the later addition of a guesthouse behind the main home. The rooms were compact and stacked on top of each other; the main house is three stories tall and the third floor holds only one room, belonging to the Kaufmann’s only son.The interior of the home is nearly as fascinating as the architecture. Mrs. Kaufmann collected countless statues, rugs, paintings and original artwork from all over the world. I spent just as much time snapping pictures of tiny details as hanging my jaw at the views outside. Her taste in decorations was exquisite. Overlooking Fallingwater from the paths around the home.To go on a tour of the house, you’ll need to reserve tickets ahead of time. I recommend the in-depth tour as you’re able to learn much more about the construction of the home and the inside story of even small details, as well as visit every room in the house. The two hours were gone in a flash.It should also be noted that interior shots of the home are only allowed on the in-depth tour. Visitors on regular tours can’t take photos during the tour.Visiting Fallingwater Fallingwater is beautiful in every season.Fallingwater is located south of Pittsburgh, within the Bear Run Nature Reserve, just off of State Route 381 in the Laurel Highlands of Pennsylvania.Tickets are $35 per person for the standard tour or $87 per person for the in-depth tour. Bear in mind that children under 6 are not allowed on any tours of Fallingwater. Reservations are highly recommended and can be made on their website or by calling 724-329-8501. If you just want to see the outside of the home, grounds passes are available for $10 each.Opening dates and times vary, though the house is closed in January and February. Even though it was only 8:15, we were finished for the day. The 15-hour time difference took some getting used to!
Everyone had a single word to describe about Sydney after the first day: amazing, fun, easy-to-get-around beautiful, exciting, and welcoming. We laughed knowing that we had two weeks to explore the city.
