Company Registration in Thailand
Thailand's economic potential and strategic location make it attractive for foreign investors. To establish a business presence, understand the company registration process.
Choose Your Business Structure: Select from limited company, branch office, or representative office structures.
Navigate Registration: Reserve a company name, prepare legal documents, register with the DBD, and obtain tax and social security registrations.
Key Considerations: Minimum capital requirements, foreign ownership restrictions, and visa/work permit needs all require attention.
Seek Professional Help: Consult a lawyer or utilize a business registration service to ensure a smooth process.
Choosing Your Business Structure
The first step involves selecting the most suitable business structure for your operations. The most common options for foreign investors include:
Thai Limited Company: This is the most popular choice, offering limited liability protection for its shareholders. It requires a minimum of two shareholders and one director, who can be foreign nationals.
Branch Office: A foreign company can establish a branch office to operate under the parent company's name. However, this structure offers less flexibility and limited liability protection.
Representative Office: This option allows a foreign company to conduct limited activities like market research and promotion, but cannot directly generate revenue.
Navigating the Registration Process
Once you've chosen your business structure, the registration process typically involves the following steps:
Company Name Reservation: Verify the availability of your desired company name through the Department of Business Development (DBD).
Prepare Memorandum of Association (MOA): This document outlines the company's objectives, share capital structure, and management details.
Statutory Meeting: Hold a meeting of the company's promoters (initial shareholders) to approve the MOA and appoint directors.
Company Registration: Submit the required documents and fees to the DBD for company registration. This may involve opening a corporate bank account.
Tax and Social Security Registration: Register your company for tax purposes and social security contributions.
Key Considerations
Here are some important factors to keep in mind throughout the registration process:
Minimum Registered Capital: The minimum registered capital requirement varies depending on the type of business and foreign ownership percentage. Consult with legal professionals to determine the applicable minimum.
Foreign Business Restrictions: Certain business sectors have restrictions on foreign ownership. Research any limitations relevant to your industry.
Visa and Work Permit Requirements: Foreign directors and employees may require visas and work permits to legally work in Thailand. Plan accordingly to avoid delays.
Seeking Professional Help
The company registration process in Thailand can involve legalities and complexities. Considering the following can ensure a smoother experience:
Consult a Legal Professional: An experienced lawyer specializing in Thai corporate law can guide you through the legalities, ensure compliance, and navigate potential challenges.
Engage a Business Registration Service: Several firms offer company registration services, handling the paperwork and liaising with government authorities on your behalf.
By understanding the different business structures, the registration process, and the importance of seeking professional guidance, you can approach company registration in Thailand with confidence. With careful planning and expert support, you'll be well on your way to establishing a successful business venture in the Land of Smiles.

Looks like the Thai government is trying to strategize to have same-sex marriage legalized before Pride. I’m a weirdo that loves these kinds of political machinations to maximize timing — I hope it works out.

American Television after 5 years of pushing for queer representation: I hope you wanted unnecessary drama, angst with a maybe resolution, and three unfulfilling seasons of questionably written flirtation. And that all comes before anything is half-confirmed with a singular lukewarm kissing scene between two conventionally attractive, white bisexual women!
Thai Television .3 seconds after they figured out queer content is marketable: Did you want something kinky, soft, or stupid? Did you want cat ears? We’ve got cat ears! We’ve got safe/sane/consensual OR off-the-charts bad etiquette BDSM. We’ve got college students out the ass! As long as they’re an engineer or architect, choose your flavor. Do you want an age gap or classmates? Something for adults? Teens? Everyone was childhood besties, how about that??? This is a short order restaurant and I will flip you some gays like they’re hotcakes, just tell me what you want.

I do not believe in the institution of marriage, I never want kids, and I'm only showing up for the queers, but
I SWEAR TO GOD!
Tumblr media
I need them to be together so badly that I'm not even ashamed of how hard I'm rooting for the heterosexuals in a queer love story.
Tumblr media Tumblr media
Like good for Mork and Day and their cute little color-coded love story, but I'm here for these future parents taking pictures and videos of their kids.
Tumblr media
MARRY YOUR FUTURE WIFE AND THE MOTHER OF YOUR CHILDREN, NIGHT!
Tumblr media
RIGHT NOW!
Tumblr media
They are gonna make such good parents.
Tumblr media
Thanks, Last Twilight, for giving the straights their proper love story.
Tumblr media
I'm blaming this on my bisexuality.
Tumblr media Tumblr media
Thailand, you better legalize marriage equality so all my couples can thrive and Mork can take care of his HUSBAND properly, goddamnit.

I'm confused about the whole thailand marriage equality thing. Is it legal or not? Because people are saying it is but then I saw a post saying it's being debated in the senate on the 2nd and "fingers crossed." So it's not legal? I'm lost.
So...I think where the mixed messages are coming from are the folks that have an understanding of the Thai legislative process vs those who don't. Yes, the bill was passed in the lower house and the process dictates that it must now be approved by the (more conservative) upper house/senate before it can be signed into law by the king. However, it is highly unlikely that the upper house is going to vote against it. Why? Because if they did, it could and would go back to vote in the lower house which (given the overwhelming majority that voted to approve the bill in the first place) would have the numbers to bypass the upper house's decision anyway. And once a bill makes it past parliament, it's extremely rare for it not to receive royal approval. (Plus there are other courses of action that could be taken should that very rare instance occur anyway). What this means is that the marriage equality bill is essentially ensured to pass, though it is not technically officially legal yet. So really it's a matter of fingers crossed that this all goes smoothly and the bill is passed as soon as possible instead of having to prolong it any further.
@waitmyturtles posted this, which gives a bit more detail on how the process works! (Thank you!!! They have some other great references regarding Thai marriage equality that they've posted as well!) I'm pretty sure the question was in response to a post they made anyway hehe 🤍🤍🤍

Prapai spoke Thailand legalizing same-sex marriage into existence. He would go all out in proposing to Sky and giving him a beach wedding on a beautiful beach somewhere in Thailand. I need that episode right now. And Fort will get to marry Peat too. You know he'd do it because he's been simping for Peat since day one.

KP Question of the day:
Your favorite KP ships (both canon and not canon) are ready to propose. Who is proposing to who, why is it likely one character proposing over the other, and how are they proposing?
I'm gonna start with ArmKhun.
I see Tankhun proposing to Arm. I could see him throwing himself into planning it in order to make it perfect, aesthetically pleasing, and romantic, but also keeping it private because he thinks Arm will appreciate the intimacy of a private proposal. I also think he would want it private due to how many people have perceived and treated him post-kidnapping. While he loves seeing big, beautiful, and public proposals on YouTube, he feels like he doesn't need to put on a show with Arm and wants to keep it that way in order to keep the proposal genuine and heartfelt. But he would totally shell out money for a ring that fits Arm's interests and style, as well as on decor to make the proposal location stunning.
The wedding it going to be gorgeous as well, and the reception will be wild. So wild that they may delay their flight to their honeymoon destination for a day to recover from their hangovers.
Feel free to reblog with your own headcannons on different ships, on a differing take for ArmKhun, or send asks requesting other couples!

I’ll be the first to say that in many ways, show me love the series is a fucking mess. The writing is uneven, the editing is GODAWFUL, and there are tons of gaping plot holes 🕳️
But I’ve continued to watch and I think there are a few reasons why even if you don’t watch, it’s worth thinking about how this series fits into the larger landscape of queer media. First off, I am a shallow lesbian and I’ll never say no to women kissing women on my tv screen 🤷‍♀️ Second, I am p confident that this show is gong to give Meena and Cherine a happy ending, and a happy ending for queer women on tv is still revolutionary! Third, this show has heart and warmth despite its many flaws. Many people have put a lot of care into the show and that does come through despite everything. Fourth, I’ve watched a lot of terrible shows and movies featuring lesbians and it has allowed me to look past superficial flaws (often due to a low budget) and at the heart of the story being told. And this story, although not the height of sophistication, is fun and trope-y and at its best is like the show equivalent of cotton candy. Fifth, this is a Thai show that normalizes queerness and brings visibility to wlw in Thailand, a country where gay marriage and unions of any kind aren’t legalized.
Finally, and perhaps most interesting to me, is that this show is an offshoot of the Miss Grand Thailand beauty pageant and in many ways acts as an advertisement for them. I’ve never been into beauty pageants and frankly my stereotypical view of them has been that they are bastions of misogyny, patriarchy, and the objectification of women. If lesbians exist in the world of the beauty pageant, I’ve always imagined it was to perform for the male gaze. And yet this show is aimed squarely at queer women!! It portrays the beauty pageant as a hot bed of lesbian activity and queerness is very normalized in the world of the show. And in the real world of Miss Grand Thailand, the lead actors and the possible romance between them are the face of the pageant. The show doesn’t critique beauty pageants in any way (it really isn’t equipped to do so), but the very act of aiming itself at queer women is subversive.

Ok but the fortune teller guy in the past, telling Palm and Nueng about all the struggles that they face being a gay couple back then including how they can't get married and start a family and then Nueng talking about how they can't be open about their relationship due to the conservatives in charge...... I see you P'Jojo I know what you're doing

I KNOW IT JUST ENDED SECONDS AGO BUT PETTY HAVE YOU SEEN LAST TWILIGHT EP 10!?!?!? NIGHT NATION RIIIIIIIIISE!!!! 🙌🏽🙌🏽🙌🏽 - Katros
I actually haven't watched it yet, but your ask caused me to immediately skip to part three of the episode, so I could see
NIGHT NATION RISE!

He said all of that with his FULL CHEST! No hesitation. No argument. This isn't a daddy. This is a dad. And I have never been more attracted to a man using his authoritative voice.
Tumblr media
I was saving this episode and planned to watch it in the airport but good thing I saw this part already because I would've screamed at gate B5 because Night deserves his family, and Day and Mork are going to be the best uncles to the kid who will be the ring bearer at their wedding.
