10 Step Web Design and Development Contract Agreement
This is not written by a professional lawyer or anyone close to one. It is written by a typically business owner of a successful web development company who has no law degree or the budget to hire a lawyer to write a web development contract. However, they are in need of a contract agreement that will assure a project will be well outlined for both the client and the developer as to what the expectations are of the entire project.
I must write a disclaimer that this proven web development agreement is purely based on experience and knowledge of the  web design and development industry. Others may write these contracts and agreements differently. This article is written to help others who wish to know how to begin to write a 10 step web design and development agreement. So enough said, let’s get down to the 10 steps:
1. Scope of Services: Start off with the most important aspect of the entire project. What exactly are you as the developer going to do for the client? Present a general 3-5 sentence summary of the scope of service. Will you be responsible for the design and programming? How will the website be updated? Who will be responsible for the marketing at the end of the project? Who will host the website when the project is done?
2. Price and Payments This is the area where you are upfront and state the exact price payment and terms of the payment is split up into installments. Is the project quoted at a fixed rate? Is it an hourly rate and how is this documented and tracked? Will the payments be made with a certain percentage up front as a down payment and then a monthly billing cycle, or is it a milestone related payment system?
3. Term and Termination How long will this agreement contract be enforceable?  If the client does not want to pursue the project ¾ of the way through the project how can he get out? What are the penalties and time frame they can exit the contract? This is crucial especially to web development agreements with entrepreneurs and startups who many times have a great idea, some type of outline or business plan for what they wish to do, but for some reason never finish through with the project. Then as the developer you must have certain rights. Do you keep all of the code that has been developed? Can you finish it and retain intellectual property to it? Many factors can go in this area, but it protects both the client and the developer in the case a developer never is able to complete a project or continues to be late on deliverable and the client wishes to terminate the relationship.
4. Ownership of Intellectual Property One aspect that needs to be addressed is who will retain the intellectual property to the project? Typically the client retains all intellectual property. This area highlights all of the intellectual property covered such as the source code, all digital files, documentation, etc. Intellectual property is very important to any and all web design and development projects. 5. Confidential Information Many clients wish to keep all information that is exchanged within a project to the developer as highly confidential and cannot be disclosed whatsoever. This must be addressed in any agreement as to the extent that information can be disclosed. Can the developer mention that they are working for the client during the course of the project to other prospects or potential clients? Many developers use their portfolio of clients as sales tools for other clients. This area must represent exactly what is disclosed and for how long. What period of time is the information kept confidential and so on.
6. Warranty and Disclaimer Having a warranty on the work that is developed is standard in most web projects. Typically a 30-90 day warranty is given on all work to be functional and bug free. Now this is the area that small details such as the client having access to the server and by mistake entering the files and making changes on mistake that affect the functionality within the terms. Think of the label on products that you purchase such as furniture and mattresses. It says that the warranty is void if you tear the label off. This is what you can address in this area. You will provide warranty on certain terms and conditions with specific disclaimers as well.
7. Limitation of Liability This is the area in which the developer discloses that they are not liable for any losses of money for the developer or other economic losses directly or indirectly associated with the development of the website. Some less experiences clients will turn around to the developer as the source of their website not succeeding online. Avoid issues in the future if something does not succeed that the client thought would, especially things that the developer cannot control once the website is launched. Also, during the project itself, if for whatever reason there is a financial loss, it protects you as a developer.
8. Relation of Parties Make sure that the client and developer understand what their relationship is. Is the relationship a development partnership? Is it strictly a work-for-hire type relationship? Is it a client and vendor relationship. This is the area where this needs to be highlighted to make sure the business relationship is understood.
9. Employee Solicitation / Hiring Many developers never think twice about this, but there have been cases where clients have lured employees or freelancers of the developer during or after the project was completed. Of course this has huge negative aspects associated to it if this happens. That is why this area is also extremely crucial to lay out the fact that the client can not solicit the developers employees in any way when it comes to potential hiring or additional perks. Specify a certain amount of time for this as well. Typically this time from is between 2-5 years.
10. Entire Agreement This is the ending of the document that basically should say that the entire document and its attributes fall under the entire contract and that nothing will supersede it. Also, this is the area the will have the client and developers key representative who will sign it, date it, and post their roles within the company. Make sure that any and all modifications after signature are signed with initials of both parties next to the change.
These 10 steps to writing a successful web design and development contract and agreement will give a peace of mind to both the client and developer and will pave the way to a trusting business relationship.
Some clients may be surprised when presented with what could be a 2-4 page document to read and sign. Don’t be afraid to walk them through each point and reaffirm the fact that such a document is needed to protect them as a client and you as a developer in any unwanted circumstances, at the same time highlights exactly what everyone’s obligations are. With that said, there should be no issues and the client should be willing to sign the document. Of course if they are not willing to sign the document perhaps it is a financial loss to you as the developer but in the long run it will avoid headaches and even more substantial financial losses.

Tell me what your website does!
You know exactly what your organisation does and what your website offers its users. This information has probably become second nature to you, but first-time visitors to your site won't know this. As such, make sure you don't forget to tell them what you do.
As soon as new site visitors arrive at your website the first thing they need to know, before anything else, is what you do. You can talk all you like about how great you are, but unless you spell out what you actually do, they won't even know what you're so great at! This oh-so-overlooked yet such basic of information can be communicated to your site visitors in a number of different ways:
Page title
Don't just use the page title to tell me who you are; tell me what you do too. If your company is called Blogs Ltd don't only place the words, 'Blogs Ltd' in the page title as there's plenty of room for more information. If Blogs Ltd sells widgets, a good page title might be: 'Blogs Ltd - Buy widgets online'.
Note in this example, 'Buy widgets online' was used to describe what Blogs Ltd does, and not 'Widget seller'. When describing what it is you do be sure to speak the language of your users, and don't talk from your point of view. From your point of view you sell widgets, but from their point of view they want to buy widgets online, so do bear this in mind when authoring the page title.
The page title is the first thing that appears on screen, and especially on dial-up modems can be the only thing that displays for the first 10 seconds or so. For many web users this is the first piece of content they'll read on your site.
The page title is also very important for search engines, which place more importance on the page title than any other on-page element. Descriptive page titles are also essential for blind web users utilising screen readers, as it's the first thing that gets read aloud to them upon arriving at the page.
Tagline
A good tagline is one of the most important usability features on any website. A good tagline should be explanatory and not vague, clear and informative and about four to eight words in length. A tagline is different to a company slogan, in that the former describes what the organisation/website does whereas the latter is designed to evoke certain feeling or create a brand.
'Priceless' and 'I'm loving it' are slogans by Mastercard and McDonald's respectively - they differ from taglines because they don't describe what the organisation does.
Taglines are so important because no matter on what page site visitors enter your website, they'll always be able to quickly gain an understanding of what your organisation and website offers. This can be especially true for site visitors coming into internal pages from search engines - by telling these site visitors what you do through the tagline, they may be more likely to explore your site beyond the initial page on which they enter.
Taglines are also good for search engine optimisation, as they appear on every page right at the top of the page, an area on to which search engines place importance.
Main heading
The main heading on the homepage is one of the first pieces of text web users notice, especially on clean well laid out websites. Sticking a 'Welcome to our website' may seem to be friendly and welcoming to you, but to task-driven site visitors it doesn't help in any way shape or form. A quick summary of what you do and/or what the website offers, in just four or five words can be highly effective (and very search engine friendly too!).
Opening paragraph
Perhaps the most important place on the homepage to tell your site visitors what you do, the opening paragraph must be short, succinct and straight-to-the-point. Just one sentence is enough to put across this most basic yet fundamental of information.
When writing this opening paragraph, remember to front-load the content (this rule actually applies to every paragraph on the website). Front-loading means putting the conclusion first, followed by the when, what, where and how.
Don't write a story with a start, middle and conclusion - generally speaking on the web, we scan looking for the information that we're after so put the conclusion first. This way, site visitors can read the conclusion first, which in this case is what your organisation actually does. If they want to know any more, they can then continue reading or jump to another section of the page. (To see front-loading in action, read any newspaper article.)
Exceptions
So, does every website need to tell users what the organisation does in these four different places? Well, not necessarily. We all know what MasterCard and McDonald do, so it could definitely be argued that websites for household names need not explicitly say what they do. What these sites should do instead is tell us what the website offers, and this message can (and should) be put across in any of the above four ways - how else will site visitors quickly be able to find this out?
Conclusion
People are going to visit your site who don't know what you do. Before you can even begin selling to them you must tell them what your organisation and website does. In addition to fulfilling site visitors' immediate need (finding out what you do) you'll also be boosting your search engine rankings. The Importance of A Good Design
Your website is the hub of your online business; it is the virtual representation of your company whether your company exists physically or not. When you are doing business online, people cannot see you physically like how they could if they were dealing with an offline company. Hence, people do judge you by your covers. This is where a good design comes in.
Imagine if you are running an offline company. Would you allow your salespersons to be dressed in shabby or casual clothes when they are dealing with your customers? By making your staff wear professionally, you are telling your customers that you do care about quality. This works simply because first impressions matter.
Similarly, the same case is with your website. If your website is put together shabbily and looks like a 5 minute "quick fix", you are literally shouting to your visitors that you are not professional and you do not care for quality.
On the opposite, if you have a totally professional looking website layout, you are giving your visitors the perception that you have given meticulous attention to every detail and you care about professionalism. You are organised, focused and you really mean business.
On the other hand, you should also have anything related to your company well designed. From business cards to letterheads to promotional brochures, every little bit matters. This is because as you grow your business, these items become the face of your business. Once again, think of the "salesperson dressed shabbily" analogy, and you will get my point.

The 2 Most Common Web Site Mistakes
When we review the sites of potential clients, there are 2 mistakes we see over and over. If you are having problems with your site, make sure these 2 problems aren’t killing you.
Traffic
Just because you think something is a good idea doesn’t mean the general public agrees. A web site should solve a problem that is common to some part of the population. If people have a problem, they will be compelled to find an answer to it. If they don’t, they are not going to visit your site for anything other than browsing. Browsing doesn’t pay the bills!
Do the research on Overture or your favorite tool. If there isn’t a significant amount of monthly searches for your topic, move on to another one. If you think you can both alert people to a problem and solve it, you are in for a difficult time. It can be done, but your chances of success are pretty small.
Database Parameters
If you have a database driven site, you absolutely must get control of the sub-domains. Examples of database sites include sites selling products or providing some version of a listing service such as real estate or jobs. Programmers and designers have a bad habit of putting session ids in the sub-domains. Session ids are an indication of dynamic pages, pages that are built on the fly when the domain is triggered. A dynamic domain looks something like:
http://www.your-site.com/default.cfm?
The problem with dynamic domains concerns search engine robots. A robot is designed to recognize the meta tags and content of a page. The robot will then include the page in the search database. Robots often refuse to index dynamic pages because the robot cannot predict the content on the page. From the robot’s view, the page could show different things each time it is accessed. As a result, the search engines can’t list it under any particular keyword with any confidence that the content will be relevant to the search. If you have dynamic pages, most of the pages of your site will never appear in Google, Yahoo and MSN. That’s a disaster. 
Planning is the key to setting up a profitable e-commerce site. Make sure you are solving a known problem and set your site up to be friendly to the search engine robots.

Your customers don't know about it and neither do the search engines. You need to tell them. You need to market your website. Getting your website noticed by the right people is key. You're not actually marketing to search engines here. Search engines are simply a means to an end. You need to market to your customers. You must understand that your customers use different online methods to find what you sell; and this most likely includes search engines.
You may also consider newsletter advertising, email advertising, PR campaigns, social networking, etc. The exact approach you need to take depends on your objectives, how your target audience looks for what you sell, your budget, your industry, etc.

So, how did you do? You built a great web site and marketed the heck out of it. How many people came to your site? How many became leads? How many leads did you turn into customers? Google Analytics is a wonderful package, easy to install, and totally free. More than this, you need to understand the numbers, and draw conclusions. This takes quite a lot of practice and understanding. A professional web design or marketing company can help you with this. Adapt. Use your results, don't just read them. This will invariably require consulting with an expert again, but you need to act on your results to improve them. This is an on-going process forever.
5. Getting Paralyzed
A lot of web design projects never see the light of day because they get mired down in perpetual planning. There comes a time when you need to act.
