Freezing of bank account for unconnected entities is legally untenable.
M/s Jermyn Capital LLC Dubai v. Central Bureau of Investigation
Fact:
M/s Jermyn Capital LLC Dubai (#Appellant Company) was Permitted by Securities Exchange Board of India (#SEBI) to buy & sell share & securities in the #Indian Stock Market.
The appellant company had its shares in its account with #ICICI Bank.
However, due to certain litigation the appellant company quit the trading in the Indian Market in 2006.
But appellant company was subjected to 02 #freeze orders under section 102 #Cr PC. (This section empowers police officers to seize any property which gives suspicion for commission of any offence.)
The freeze order for an amount of Rs.42.51 crore was initiated because of the #pending #investigation against Dharmesh Doshi
Against the freeze order the appellant company approached the Apex Court & the #ApexCourt allowed the appellant Company to sell its shares & convert into cash and repatriate the funds with interest but without bank guarantee.
Rs. 42.51 Crore was repatriated.
Issue arose when appellant company was incapacitated by second freeze order for an amount of Rs. 38.52 crores to repatriate.
Aggrieved by the freeze the appellant company again approached the Apex Court.
The Apex Court gave liberty to the appellant company to approach trial court for release of the said amount.
The trial court allowed the repatriation of Rs.38.52 Crores subject to the #Bank Guarantee of an equivalent amount.
Aggrieved by the imposition of Bank Guarantee Clause the appellant Company approached High Court.
High Court confirmed the decision of Trial Court.
Against the order of the High Court present Criminal Appeal is filed before Apex Court.
Observation of the Apex Court:
Imposition of Bank Guarantee clause as due to pending investigation against Dharmesh Doshi, alleged to have been connected with the appellant company.
Record shows that Dharmesh Doshi has been discharged by the trial court, was never an employee/shareholder/director or holding key managerial position in the appellant company.
Dharmesh Doshi & Appellant Company are 02 separate entities.
Freezing order as such not legally tenable when two entities are unconnected.
Neither in the FIR nor in the chargesheet filed against the Dharmesh Doshi, appellant company was named.
Further during hearing CBI informed the Apex Court that no criminal proceedings is pending against the appellant company pertaining the dispute discussed here.
The freeze order against the appellant company’s properties is redundant as the appellant company is not necessary for the conclusion of the investigation.
The purpose of the freeze order, and the bank guarantee in extension of the freeze order, can only be in operation to aid in the investigation against the alleged crime.
Since the investigation against the appellant company has become redundant as such freeze order has also become redundant.
The operation of the freeze order has been active for a period of 17 years and has caused huge losses to the appellant company.
Decision:
The Division Bench of Hon’ble Mr. Justice Krishna Murari J & Hon’ble Sanjay Kumar J vide their order dt.09.05.2023 set aside the order of the High Court and permitted the appellant company to withdraw the said amount with 4% simple interest from May08, 2006.

Remarks passed in court can cause great harm to the reputation of the parties involved
Crl. Appeal Seemant Kumar Singh v. Mahesh PS & Ors
#CriminalAppeals were filed before the #SupremeCourt against the interim order dated 07.07.2022 passed by the #HighCourtofKarnatakaatBengaluru, in Criminal Petition No. 4909 of 2022, whereby #adverseremarks were made by the Ld. Single Judge of the High Court against the Appellants, and a direction was issued to the #CBI, mandating them to #investigate the #pastrecords of one of the Appellants.
Decision: Criminal Appeal was #allowed by the Bench of Hon'ble Mr Justice Krishna Murari J & Mr. Justice Ahsanullah Amanuddin J and order dt 0.07.2022 of the High Court was quashed by which the High Court made adverse remarks against the Appellants, and also directed the CBI to place a report of the past investigations conducted against the Appellant No. 2. Apex Court also requested the High Court to expeditiously conclude the bail proceedings in accordance with law on its own merits without being prejudiced or influenced by this judgment.
Facts: An FIR was registered against Mahesh PS under section 7a of #PreventionofCorruptionAct for having taken bribe from the informant and he was taken to custody. Respondent/Mahesh filed #bailapplication u/s 439 CrPC before Karnataka High Court at Bengaluru. Bail proceedings at High Court were going and amidst the proceedings on two separate occasions the High Court made adverse remarks against the appellants Mr. Seemant Kumar(Appellant No.2), a senior IPS officer with 26 years of service, and currently the Additional Director General of Police, Anti-Corruption Bureau & against Mr. J. Manjunath(Appellant No.3), the District Collector for the city of Bangalore.
Issues in Criminal Appeal:
1. Whether the adverse remarks made by the High Court against the appellants during the bail proceedings of the Respondent No.1 is liable to be expunged?
2. Whether the directions issued by the High Court to seek for reports against the Appellant No.2 during the bail proceedings of the Respondent No.1 is liable to be set aside?
Observation of the Supreme Court:
1. #Bailproceedings, unlike a full criminal trial, are burdened with the task of only forming a prima facie view on the merits of the case. In such a circumstance when the evidence is not fully analyzed, and a presumption of innocence is still operational in favor of the accused, the courts must then be extremely cautious in passing adverse remarks against the accused.
2. This becomes especially important in cases where the party against whom the remarks are passed do not have a #lis in the said proceedings, for such #comments, especially if passed by #constitutionalcourts, can cause great #injury to the #reputation of the #parties at the receiving end of such remarks.
3. The Appellant No.2 is merely a government employee and nothing to do with the transaction of the crime, let alone the bail proceedings. No evidence against him has been analyzed by the court and no opportunity has been given to him to explain himself, however, scathing and egregious remarks have still been passed against him.
4. #Remarks passed by the High Court is #manifestly #arbitrary and #unfair and not in the interest of justice.
5. Appellant No. 3 is an accused in the alleged crime, however, he does not have any lis in the bail proceedings wherefore, passing of adverse remarks against him is unreasonable.
6. The High Court should have #confineditself to the #issuesrelevant to it for the purposes of #deciding the #bail of the Respondent No.1/Mahesh.
7. A court of bail, especially in cases where the bail is sought for by a third party, is not a court that has all the relevant information to pass an order on the merits of an unconnected party, and such an order, if passed, has the potential to cause great harm to the said party without them being afforded an actual and meaningful opportunity to defend themselves.
8. The opportunity to be #meaningfullyheard however has not been afforded to the Appellant No.2, and therefore order of the High Court directing CBI to put up record of cases against Appellant No.2 is set aside and issue No.2 was decided in favour of Mr. Seemant Kumar.
9. The changes in the judiciary have ensured that the courts as redressal mechanisms have become more #accessible to the #commonman than ever before. This never before seen transparency in the judicial system, while it brings with it great benefits, it also attaches with it a stricter standard of responsibility on judges while conducting such court proceedings.
10. Remarks passed in court, due to the #livebroadcasting of court proceedings, now have #ramifications that are #farreaching, and as can be seen in the present case, can cause #greatinjury to the #reputation of the parties involved.
